Reporting to FinancialForce’s Associate General Counsel in San Francisco, the Commercial Counsel will be a vital member of the FinancialForce Legal team and will play a key role in enabling the company’s continuing growth. We are a tightly knit collaborative team, seeking someone to make a meaningful impact on a daily basis.
The position will be primarily responsible for supporting FinancialForce's go to market teams, including global Sales, Professional Services, Customer Success and Alliances organizations in drafting and negotiating commercial agreements, and for supporting all company organizations in drafting, reviewing and negotiating procurement agreements.
The Commercial Counsel will own and improve commercial agreement templates, in order to best serve the business and address legal developments. This is a hands-on role in which you will interact daily with customers, partners, and internal clients across multiple organizations. You will be a critical, highly visible and impactful member of the legal department and a true legal partner to the business.
An ideal candidate will have a broad set of skills, function independently with a professional attitude, want to serve as a key legal resource for colleagues, and approach their role with a growth mindset while welcoming opportunities to establish expertise in new areas.
Negotiate and draft master subscription agreements, consulting agreements, alliance agreements and other types of agreements with customers and partners in support of global Sales, Professional Services and Alliances organizations. Partner with Sales, Professional Services, Customer Success and other internal business constituents throughout the customer lifecycle to ensure customer success and protection of FinancialForce. Develop standardized templates and processes for repeatable transactions that will advance and scale business. Evolve and refine these periodically to increase efficiency, support company initiatives, and align with legal developments and current business trends Partner with Finance, Product, Sales, Revenue Operations, Privacy, Security, and other stakeholder teams to ensure templates are consistent with internal corporate policies and processes. Review and negotiate procurement contracts needed for the business. Engage with customer success and other stakeholders to prevent and manage commercial disputes. Proactively identify business and legal risk areas and work with the legal and cross functional teams to mitigate. Play an active role in the ongoing implementation of a contract management system for all contracts, as well as creating a one-source-of-truth database for commercial terms and legal metrics. Be ready to jump into new company and team projects as need arises.
WHAT YOU NEED TO BE SUCCESSFUL IN THIS ROLE Undergraduate degree and a Law degree from highly regarded school 4+ years combined experience in law firm and/or in-house legal department Substantive experience negotiating and drafting technology license/SaaS and consulting agreements Excellent written/verbal communication and negotiation skills Familiarity with, or willingness to learn, technical, privacy and security concepts Ability to organize, prioritize and manage deadlines in a fast-paced work environment Ability to maintain strong working relationships with internal clients, utilizing a responsive and service-oriented approach Sound and practical business judgment Willingness and desire to learn, improve and grow with the company
WHAT ELSE WOULD BE GREAT Substantive expertise in IP, privacy, or corporate law Experience in supporting sales departments as an internal client Familiarity with Salesforce and Salesforce platform agreements Collaborative team player with a roll-up-your sleeves attitude Admission to CA state bar
